By accessing or using the Proofglint website at proofglint.com and the Proofglint candidate verification and structured interview platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Proofglint provides an AI-assisted candidate verification and structured interview platform for talent acquisition teams. The Service includes async candidate verification flows, JD-driven question generation, structured scorecards, and ATS integration capabilities.

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration, maintain the security of your password, and promptly update your account information if it changes. You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates applicable federal, state, local, or international law or regulation, including applicable employment and anti-discrimination laws governing hiring practices.

5. Candidate Data and Employment Law Compliance

You are solely responsible for ensuring that your use of the Service complies with applicable employment laws, including but not limited to equal employment opportunity requirements, the Americans with Disabilities Act, Title VII of the Civil Rights Act, and applicable state and local employment laws. Proofglint provides tools; you make hiring decisions. You must not use the Service to make hiring decisions based on protected characteristics.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Proofglint and its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You agree to our collection and use of information as set forth in the Privacy Policy.

8. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the fees applicable to your selected plan. All fees are non-refundable except as required by law or as expressly stated in our refund policy. We reserve the right to change subscription fees with reasonable advance notice.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. Proofglint makes no warranties, expressed or implied, regarding the accuracy, reliability, or suitability of the AI-generated scores or recommendations for any particular hiring decision. Scorecard outputs are tools to support human decision-making, not substitutes for it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Proofglint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New York County, New York.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
